Terms of service

These Terms and Conditions apply to your use of www.neap.com.au and any related Neap online services, accounts, downloads, resources, products, materials and platforms (Website), including the Neap Teacher Resource Hub (hub.neap.com.au). By accessing or using the Website, creating an account, downloading Materials or purchasing goods or services from us, you agree to be bound by these Terms and Conditions. If you do not accept these Terms and Conditions, you must not use the Website, create an account, download Materials or purchase goods or services through the Website.

1. Definitions

In these Terms and Conditions:

  • Neap Free Teacher Resources means Materials made available by us through the Teacher Resource Hub or otherwise identified by us as free teacher resources.
  • Materials means any materials, content or resources made available through or in connection with the Website, whether free or paid, including articles, notes, worksheets, lesson resources, books, ebooks, trial exams, diagnostic tests, practice questions, solutions, videos, newsletters, downloads and other content in any format.
  • Teacher Resource Hub means the area of the Website through which registered users may access Free Teacher Resources and related teacher resources.
  • User Content means any user-generated or user-supplied content submitted to us or the Website, including comments, feedback, profile information, usernames, text, data, files, images, photographs and audiovisual material in any format.
  • we, us and our mean Neap, Smart Study and Neap Education Pty Ltd ACN 634 499 791.
  • you means the person accessing or using the Website and, where applicable, the school, organisation or entity on whose behalf that person accesses or uses the Website or Materials.

2. Registration and access

2.1 You may be required to create an account to access parts of the Website, including the Teacher Resource Hub. When registering, we may collect information such as your name, email address, phone number, school, state or territory, role or position, subject areas, year levels taught and curriculum interests. We will handle personal information in accordance with our Privacy Policy.

2.2 You must provide accurate, current and complete information and keep your account information up to date. You must not misrepresent your identity, role, school, eligibility or authority to access Materials.

2.3 You must keep your username, password and account details secure. You must not share your login details or allow another person to use your account. You are responsible for all activity occurring through your account.

2.4 We may refuse, suspend or terminate access to an account or the Website where we reasonably consider that information is inaccurate, the account is being misused, the account has been compromised, access is no longer appropriate, or these Terms and Conditions have been breached.

3. Teacher Resource Hub eligibility

3.1 The Teacher Resource Hub is intended for teachers, school staff and other authorised education professionals who access Neap Free Teacher Resources for use in their own school classes or internal school teaching activities.

3.2 By registering for or using the Teacher Resource Hub, you represent and warrant that you are a teacher, school staff member or other authorised education professional, or that you otherwise have our permission to access the Teacher Resource Hub.

3.3 We may ask you to verify your school, role, email address or eligibility to access the Teacher Resource Hub. We may refuse or withdraw access if verification is not provided or if we reasonably consider access is being misused.

4. Use of the Website

You must not:

  • damage, modify, interfere with, disrupt, circumvent or compromise the Website, Materials, security features, access controls, accounts, data, files, passwords or systems;
  • use automated tools, scraping, data mining, bots, crawlers or extraction tools without our prior written consent;
  • impose or attempt to impose an unreasonable or disproportionately large load on the Website;
  • use the Website or Materials for unlawful, misleading, fraudulent, harmful or unauthorised purposes;
  • upload or submit User Content that infringes third party rights, is unlawful, defamatory, offensive, misleading or otherwise inappropriate; or
  • attempt to access accounts, systems, Materials or parts of the Website that you are not authorised to access.

5. Intellectual property

5.1 Copyright and all other intellectual property rights in the Website and Materials are owned by us or licensed to us. All rights not expressly granted under these Terms and Conditions are reserved.

5.2 The Neap and Smart Study names, brands, logos and trade marks must not be used without our prior written consent.

5.3 You must not remove, obscure or alter any copyright notice, trade mark, disclaimer, attribution, footer, watermark or other rights notice contained in or attached to any Materials.

5.4 When you submit User Content, you grant us a royalty-free, worldwide, perpetual licence to use, reproduce, display, modify, communicate and otherwise deal with that User Content for the purposes of operating, improving, promoting and protecting the Website and our services. You warrant that you have all rights required to provide that User Content and grant this licence.

5.5 We take intellectual property infringement and plagiarism seriously. We may disclose details of users reasonably believed to have breached intellectual property rights or plagiarised Materials to schools, educational authorities, law enforcement, regulators or rights holders where we consider it reasonably necessary to protect our rights or the rights of others.

6. Licence for Free Teacher Resources

6.1 Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, save and print Neap Free Teacher Resources solely for use by you in your own school classes and internal school teaching activities.

6.2 You may provide printed copies of Free Teacher Resources to students in the classes you teach, and you may use Free Teacher Resources within your school for lesson preparation, classroom teaching, revision, assessment preparation and related internal educational purposes.

6.3 Unless we expressly state otherwise in writing, you must not:

  • sell, resell, licence, sub-licence, hire, charge for, commercialise or otherwise exploit Neap Free Teacher Resources;
  • share, email, upload, post, publish, distribute or make Neap Free Teacher Resources available outside your school or to the general public;
  • provide Neap Free Teacher Resources to other schools, tutoring businesses, coaching colleges, publishers, commercial education providers, websites, online groups, social media platforms or resource-sharing platforms;
  • place Neap Free Teacher Resources on any public website, public drive, shared online repository, social media platform or external learning management system accessible outside your school;
  • use Neap Free Teacher Resources in a tutoring, coaching, commercial training or paid educational service unless we have given prior written consent;
  • modify, adapt, translate, extract, compile, create derivative works from, remove branding from, or incorporate Neap Free Teacher Resources into another product or resource for distribution;
  • use Neap Free Teacher Resources to train artificial intelligence models or include them in datasets, prompts, uploads or systems designed to reproduce, summarise, adapt or generate educational content; or
  • use Neap Free Teacher Resources in any way that may prejudice, dilute, undermine or compete with Neap’s rights, products, services or commercial interests.

6.4 If you wish to use Neap Free Teacher Resources outside the licence above, you must obtain our prior written consent.

6.5 We may withdraw, amend, replace, restrict or remove Neap Free Teacher Resources at any time without notice. Free access to a resource does not mean the resource is in the public domain or free from copyright restrictions.

7. Paid Materials, Trial Exams and Diagnostic Tests

7.1 Additional terms may apply to particular Materials, purchases, promotions, school licences, trial exams, diagnostic tests or other products and services. Those additional terms form part of these Terms and Conditions. If there is any inconsistency, the specific additional terms prevail to the extent of the inconsistency.

7.2 Unless otherwise agreed in writing by Neap, the purchase of any Neap Trial Exam, Diagnostic Topic Test or similar assessment material grants the purchasing school a non-exclusive, non-transferable licence for a period of 12 months from the date of purchase to print and distribute copies of the relevant materials to its enrolled students, solely for internal school teaching, assessment and revision purposes.

7.3 The licence in clause 7.2 is granted only to the purchasing school and its authorised teachers and staff. The materials must not be used by, shared with, supplied to, or made available to any other school, tutoring business, coaching college, commercial education provider, third party or member of the public without Neap’s prior written consent.

7.4 The materials must not be altered, adapted, manipulated, edited, reformatted, extracted, reproduced in part, merged with other materials, uploaded to any website, learning management system or online platform accessible outside the purchasing school, or otherwise modified, except to the extent expressly permitted by Neap in writing.

7.5 Neap Trial Exams and Diagnostic Topic Tests remain subject to the Trial Exams and Diagnostic Tests Terms published by us from time to time, including restrictions on copying, security, school use, distribution and returns.

8. General restrictions on Materials

Except as expressly permitted by these Terms and Conditions, additional applicable terms, the Copyright Act 1968 (Cth), other applicable law, or our prior written consent, you must not reproduce, copy, adapt, translate, store, distribute, re-distribute, sub-license, on-sell, print, display in public, perform, communicate to the public, publish online, create derivative works from, mirror, scrape, extract, data mine or otherwise exploit the Website or any Materials.

9. User Content

You are solely responsible for User Content you submit. We may remove, moderate, restrict or refuse User Content at any time without notice. We do not routinely pre-screen User Content. If we become aware of User Content that may breach these Terms and Conditions, infringe rights, be unlawful or expose us to risk, we may remove it and take other steps we consider appropriate.

10. Disclaimers

10.1 To the extent permitted by law, the Website and Materials are provided on an “as is” and “as available” basis. We do not warrant that the Website or Materials will be accurate, complete, current, error-free, secure, uninterrupted or suitable for any particular purpose.

10.2 Materials are general educational resources and are not a substitute for teacher judgment, school policies, curriculum requirements, syllabus review, class attendance, independent study, professional advice or official examination or curriculum materials. You are responsible for reviewing Materials before use and determining whether they are appropriate for your students, school, curriculum and teaching context.

10.3 To the extent permitted by law, we disclaim liability for errors, omissions, interruptions, security incidents, unauthorised access, viruses, harmful code, loss of data and reliance on the Website or Materials.

10.4 Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.

11. Purchasing and payment

11.1 Prices for goods and services listed on the Website are in Australian dollars and include GST where applicable, unless stated otherwise. Prices are current at the time of display but may change.

11.2 Payment must be made in the manner described on the Website and must be received before dispatch or access is provided, unless we agree otherwise.

11.3 We may cancel an order or correct an error where Materials or products are listed with incorrect pricing, descriptions or availability due to typographical error, system error or similar oversight. Where required, we will refund amounts paid for cancelled orders.

12. Links and third party services

The Website may contain links to third party websites or use third party services. Links are provided for convenience only and do not imply endorsement. We are not responsible for the content, availability, security, terms or privacy practices of third party websites or services.

13. Privacy

We collect, hold, use and disclose personal information in accordance with our Privacy Policy. By using the Website, creating an account or providing information to us, you acknowledge that we will handle personal information in accordance with that Privacy Policy.

14. Breach, suspension and termination

14.1 We may suspend, restrict or terminate your access to the Website, Teacher Resource Hub, Materials or account if we reasonably consider that you have breached these Terms and Conditions, misused Materials, infringed intellectual property rights, created risk for us or others, or engaged in conduct that is unlawful, inappropriate or harmful.

14.2 We may take other action we consider appropriate, including disabling downloads, blocking access, requiring deletion or return of Materials, contacting your school or organisation, seeking undertakings, issuing takedown notices, enforcing our rights or commencing legal action.

14.3 Clauses concerning intellectual property, licence restrictions, disclaimers, liability, indemnity, privacy, governing law and any other clauses capable of surviving termination will survive termination or expiry.

15. Indemnity

To the extent permitted by law, you indemnify us and our officers, directors, employees and contractors against any expenses, costs, losses, damages, liabilities and claims arising from or in connection with your breach of these Terms and Conditions, misuse of the Website or Materials, infringement of intellectual property rights, unlawful conduct or User Content.

16. Limitation of liability

To the extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss or damage, loss of profits, revenue, goodwill, data, opportunity or educational opportunity arising from or in connection with the Website, Materials or these Terms and Conditions.

17. Assignment

We may assign, transfer, novate or otherwise deal with our rights and obligations under these Terms and Conditions in connection with a business sale, merger, restructure, financing or transfer of Neap or its assets. You must not assign your rights or obligations without our prior written consent.

18. Governing law

These Terms and Conditions are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia and their courts of appeal.

19. Amendments

We may amend these Terms and Conditions from time to time by publishing an updated version on the Website. Amendments are effective upon publication unless stated otherwise. Your continued use of the Website after publication of updated Terms and Conditions constitutes acceptance of the updated Terms and Conditions.
